The agent in Brazil is required to enter into contracts with the prospective clients in Brazil. The contract has been drafted by an external legal firm in Australia but the contract does not stipulate the governing law.
You have been requested by your management to conduct a seminar to educate the Brazilian team on the basic concepts in contract law in Australia emphasizing the major differences between the two legal systems (Australia and Brazil) in relation to contract law.

This is a research assignment where you are expected to do some research on the two legal systems operating in Australia and in Brazil. During this course you may have covered the basic concepts of the prominent two legal systems in the world. But here, the scope of your study is narrowed down by limiting the area of your research to the basic concepts of contract law. I hope there are sufficient materials you can find on the internet as well as from any library on Brazilian contract law. Take a pragmatic approach and identify the areas where there are major differences. It is more or less a comparison study of these two systems. The New Civil Code of Brazil is perhaps the starting point.
